5. Payment Terms
Unless a different payment schedule is agreed in writing, our general payment structure is:
50% upfront and 50% before final launch or delivery.
For larger, complex, or long-term projects, payment may instead be divided into agreed milestones.
Third-party costs, including hosting, domains, premium plugins, software licenses, APIs, subscriptions, stock assets, or other external services, may be charged separately unless explicitly included in the project agreement.
6. Project Scope and Changes
The agreed project scope defines the work Digital Roots is responsible for delivering.
Requests that materially change the original scope may be treated as additional work.
Examples may include:
- Additional pages
- New functionality
- Additional integrations
- Major design changes
- Additional revisions
- New automation workflows
- Additional development requirements
- Changes requested after approval of previously completed work
Additional work may require a revised quotation, timeline, or milestone.
7. Client Responsibilities
Clients are responsible for providing accurate information, content, materials, approvals, credentials, and feedback reasonably required to complete the project.
This may include:
- Text and website content
- Images and brand assets
- Logos
- Business information
- Hosting or domain access
- Third-party account access
- API credentials where required
- Timely feedback and approvals
Delays in receiving required information, approvals, content, or access may affect the project timeline.
8. Revisions and Approvals
The number and scope of revisions included in a project will depend on the applicable proposal or agreement.
Once a design, page, feature, or milestone has been approved, substantial changes to previously approved work may be treated as additional work.
Clients are responsible for reviewing deliverables and providing timely feedback.
9. Delivery and Launch
Digital Roots will make reasonable efforts to complete projects according to the agreed timeline.
Estimated timelines may change due to:
- Scope changes
- Delayed client feedback
- Delayed content or access
- Third-party services
- Hosting issues
- Technical dependencies
- Unforeseen technical requirements
- Circumstances outside our reasonable control
Where applicable, final launch or delivery may depend on receipt of the final payment and all required client materials and approvals.
10. Third-Party Services
Projects may depend on third-party services, platforms, software, APIs, hosting providers, plugins, themes, payment providers, automation platforms, or other external technologies.
Digital Roots does not control third-party services and cannot guarantee their continued availability, pricing, functionality, security, or policies.
Any third-party service fees are generally the client's responsibility unless specifically stated otherwise.
11. Intellectual Property
Unless otherwise agreed in writing, ownership and usage rights for final project deliverables will be determined by the applicable project agreement and payment status.
Unless explicitly transferred or licensed to the client, Digital Roots may retain rights to:
- Reusable development techniques
- General code structures
- Internal frameworks
- Templates
- Processes
- Automation methods
- Libraries
- Tools
- General know-how
Third-party assets, software, fonts, plugins, APIs, stock materials, and other licensed resources remain subject to their respective licenses and terms.
12. Client Materials
Clients are responsible for ensuring that they have the necessary rights, permissions, and licenses to provide content, images, logos, trademarks, data, software, and other materials supplied to Digital Roots.
The client remains responsible for any claims arising from materials supplied by the client that infringe the rights of another party.
13. Portfolio and Work Display
Unless otherwise agreed in writing, Digital Roots may display completed work in its portfolio, website, presentations, or professional marketing materials for the purpose of demonstrating its services.
Where a project is confidential or subject to a non-disclosure agreement, Digital Roots will respect the applicable confidentiality restrictions.
14. Website Performance and Third-Party Limitations
Digital Roots may provide website performance optimization and related services.
While we aim to improve performance based on reasonable technical practices, performance can be affected by hosting infrastructure, third-party scripts, plugins, APIs, external services, traffic, content, browsers, devices, networks, and other factors outside our control.
Therefore, specific performance results or scores are not guaranteed unless expressly stated in a written agreement.
15. Automation and AI Services
Automation and AI solutions may depend on third-party platforms, APIs, models, services, integrations, and data.
Digital Roots will make reasonable efforts to build systems according to the agreed requirements.
However, AI-generated outputs and third-party automation services may occasionally produce inaccurate, incomplete, unexpected, or unavailable results.
Clients remain responsible for reviewing and approving business-critical outputs where appropriate.
16. Confidentiality
Both Digital Roots and the client may receive confidential information during a project.
Each party should take reasonable steps to protect confidential information received from the other party and use it only for legitimate purposes related to the project or business relationship.
Separate non-disclosure agreements may be used for projects requiring additional confidentiality protections.
17. Cancellation and Termination
Either party may request termination of a project subject to the applicable project agreement.
If a client cancels a project after work has started, fees may remain payable for work already completed, approved milestones, non-refundable third-party expenses, and other agreed commitments.
Any refund or outstanding balance will be determined according to the applicable project agreement.
18. Refunds
Refund terms may vary depending on the nature and stage of a project.
Because digital services involve time, development work, design work, research, communication, and other resources, payments for completed or substantially completed work may not be refundable.
Specific refund arrangements, where applicable, will be stated in the relevant proposal or agreement.
19. Warranties and Limitations
Digital Roots will provide services with reasonable care and skill.
However, we do not guarantee that:
- A website will always be available
- A website will be completely free of errors
- Third-party services will always remain available
- Search engine rankings will reach a particular position
- A website will generate a specific number of leads or sales
- Automation will produce a specific financial result
- AI systems will always produce accurate results
- External platforms will not change their APIs, policies, pricing, or functionality
Business results depend on many factors beyond the control of Digital Roots.
20. Limitation of Liability
To the extent permitted by applicable law, Digital Roots will not be responsible for indirect, incidental, consequential, special, or business-related losses arising from the use of our website or services.
This may include loss of profits, revenue, business opportunities, data, or anticipated savings.
Any liability relating to a specific project will be considered subject to the applicable written agreement and applicable law.
Nothing in these Terms is intended to exclude or limit liability where such exclusion or limitation is not permitted by law.
21. Force Majeure
Digital Roots will not be responsible for delays or inability to perform caused by circumstances beyond our reasonable control.
Such circumstances may include:
- Internet or infrastructure outages
- Hosting failures
- Third-party platform outages
- Natural disasters
- Government actions
- Cybersecurity incidents
- War or civil unrest
- Power outages
- Serious technical failures
- Other events outside our reasonable control
22. Changes to Services or Website

These Terms, together with any applicable proposal, quotation, statement of work, contract, or written agreement, form the understanding governing the relevant services.
